Before you start
- Passport copy ready for every shareholder and manager
- Decision on structure: EOOD (1 shareholder) or OOD (2+)
- Backup company name in case your first choice is taken
- Share capital amount agreed (legal minimum: 2 BGN ≈ €1)
- Director appointed (can be the shareholder)
- Confirmed whether you can travel to Bulgaria or need a Power of Attorney
Documents to prepare
- Notarised + apostilled Power of Attorney (if not travelling)
- Articles of Association (drafted in BG with EN translation)
- Shareholders' resolution appointing the manager
- Manager's consent and specimen signature
- Proof of address for the registered office
- Bank capital deposit certificate
Filing & registration
- Name reservation with the Commercial Register
- Capital account opened, share capital deposited
- Notary signing completed (in person or via PoA)
- Full filing package submitted to the Commercial Register
- Filing fee paid (≈ 110 BGN / €55)
- UIC / Bulstat number issued (typically 2–4 days after filing)
After registration
- Capital account converted to a permanent corporate account
- Wise Business or Revolut Business set up for multi-currency
- VAT registration submitted (mandatory > 100,000 BGN turnover, or voluntary)
- VIES verification confirmed (typically 7–14 days after VAT issuance)
- Accounting software set up (or monthly bookkeeping retainer signed)
- Director's EU residency / substance plan reviewed
- Home-country exit tax & CFC implications discussed with home advisor
Monthly / ongoing
- VAT return filed by the 14th of the following month
- VIES return for EU B2B sales
- Monthly bookkeeping reconciled
- Annual financial statements + corporate tax return (by 31 March)
- Director's quarterly compliance check
