Day 0

Kick-off call & document list

30-minute call to confirm the structure (EOOD vs OOD), share capital, director setup, and business activity. You receive a personalised document checklist the same day.

Step 2

Day 1-2

Document preparation

We draft the Articles of Association, shareholder resolution, specimen signatures, and consent forms in Bulgarian and English. You review by email.

Day 2-3

Apostille & translation (if needed)

If you sign remotely, your passport copy and specimen signature need apostille in your home country, then certified Bulgarian translation. Skip this step if you sign in Bulgaria in person.

Step 4

Day 3

Open capital deposit account

A Bulgarian bank opens a temporary capital account and issues a deposit certificate for BGN 2 (about €1). We handle the bank appointment.

Step 5

Day 4

File with the Commercial Register

We lodge the incorporation application electronically with Bulgaria's Registry Agency. Standard state fee: BGN 55 (about €28).

Day 5-7

EIK issued (registration complete)

Registry Agency approves and issues your EIK (company number). Your Bulgarian EOOD legally exists. You receive the registration certificate as a PDF.

Day 7-10

Convert deposit into operating bank account

The bank converts the capital deposit into a live business current account. IBAN issued, online banking activated, debit card ordered.

Day 10-14

VAT registration (optional, or mandatory above threshold)

Voluntary VAT registration takes 7-14 days after filing. Mandatory registration triggers at BGN 166,000 (about €85,000) turnover in 12 months, or immediately for intra-EU service supplies.

Step 9

Day 10-30

UBO declaration & first monthly filings setup

Beneficial owner declaration filed within 4 months of incorporation. Payroll (if employees), monthly VAT (if registered), and social security setup for owner-manager complete before the first month-end.
